Welcome to Nieu Sol Education (“Nieu Sol”, “we”, “our”, “us”).

These Website Terms and Conditions (“Terms”) govern your access to and use of the website located at www.nieusol.co.za (“the Website”), together with all products, services, digital downloads, educational resources, memberships, subscriptions, communications and related services made available through the Website.

Nieu Sol Education is owned and operated by Wilhelmus Petrus Trytsman, a sole proprietor trading as Nieu Sol Education.

By accessing this Website, creating an account, placing an order, downloading any resource or otherwise using any service offered by Nieu Sol Education, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions.

If you do not agree with any provision contained herein, you must immediately discontinue use of this Website.

A registered customer profile created on the Website.

Agreement
These Website Terms and Conditions together with all policies incorporated by reference.

Customer
Any individual or organisation purchasing or using products from Nieu Sol Education.

Digital Product
Any electronic resource including but not limited to:

and any future educational material supplied electronically.

Licence

Permission granted to use a purchased Digital Product subject to these Terms.

Single Teacher Licence

A licence permitting one educator to use a purchased resource solely for teaching their own assigned learners.

School Licence

A licence permitting multiple authorised educators within the same educational institution to use specified resources in accordance with a separate licensing agreement.

Intellectual Property

All copyrights, trademarks, trade secrets, educational methodologies, graphics, branding, logos, documents, layouts, lesson plans, worksheets, written content, software, designs and any other proprietary material owned by Nieu Sol Education.

  1. ACCEPTANCE OF THESE TERMS

By accessing the Website you confirm that:

  • you are at least 18 years of age or have legal authority to enter into this Agreement;
  • you have the legal capacity to conclude binding agreements;
  • all information supplied by you is accurate;
  • you will comply with these Terms;
  • you will comply with all applicable South African laws.

Continued use of the Website constitutes acceptance of any future amendments to these Terms.

  1. WEBSITE USE

You agree to use the Website only for lawful purposes.

You may not use this Website to:

  • commit fraud;
  • impersonate another person;
  • infringe copyright;
  • interfere with Website security;
  • distribute malware;
  • scrape Website content;
  • reverse engineer Website functionality;

  • create a Customer Account.

Creating an account allows customers to:

  • receive product updates where applicable.

You remain responsible for maintaining the confidentiality of your password.

You are responsible for all activities occurring under your account.

Should you believe your account has been compromised, you must notify Nieu Sol Education immediately.

We reserve the right to suspend or terminate accounts used unlawfully.

Nieu Sol Education provides professionally developed educational resources intended primarily for Foundation Phase educators.

Products include but are not limited to:

  • Printable Resources
  • Assessment Resources
  • Educational Support Material

Products may be updated, modified or discontinued without prior notice.

Where updates form part of the purchased licence, customers will receive access in accordance with the product description.

  1. PRODUCT INFORMATION

Every reasonable effort is made to ensure that product descriptions, screenshots, demonstrations, specifications and curriculum references are accurate.

However:

colour variations,

document formatting,

device compatibility,

printer settings,

software versions,

operating systems,

and future curriculum amendments

may result in differences between displayed previews and the final downloaded product.

Minor differences shall not constitute grounds for cancellation or refund.

  1. CURRICULUM ALIGNMENT

Nieu Sol Education develops resources intended to align with the Curriculum and Assessment Policy Statement (CAPS) and applicable Department of Basic Education guidance available at the time of publication.

Curriculum requirements may change over time.

While every reasonable effort is made to review and update resources, Nieu Sol Education cannot guarantee that every product will immediately reflect newly issued departmental amendments.

Teachers remain professionally responsible for ensuring that resources are implemented appropriately within their specific classroom context.

  

  1. ORDERING PROCESS

10.1 Customers may purchase Digital Products directly through the Website.

10.2 An order shall only be deemed accepted once:

  • payment has been successfully authorised;
  • payment confirmation has been received from the payment gateway;
  • the order has been processed by Nieu Sol Education.

10.3 Nieu Sol Education reserves the right to refuse, suspend or cancel any order where:

  • fraudulent activity is suspected;
  • payment cannot be verified;
  • pricing errors have occurred;
  • the product is unavailable;
  • the customer has previously breached these Terms;
  • there is reasonable suspicion of copyright infringement or misuse.

10.4 If an order is cancelled by Nieu Sol Education before delivery, the customer shall receive a full refund of the amount paid.

10.5 Confirmation of an order will be sent to the email address supplied during checkout.

10.6 Customers are responsible for ensuring that the email address provided is accurate and capable of receiving communications from Nieu Sol Education.

  1. PRICING

11.1 All prices displayed on the Website are quoted in South African Rand (ZAR).

11.2 Nieu Sol Education reserves the right to amend pricing at any time without prior notice.

11.3 Price changes shall not affect orders that have already been completed and paid for.

11.4 Prices displayed on the Website apply only to purchases made through the Website unless expressly stated otherwise.

11.5 Product pricing may differ between:

  • individual teacher licences;
  • school licences;
  • promotional campaigns;
  • subscription services;
  • bundled products.

11.6 Obvious pricing errors may be corrected by Nieu Sol Education prior to accepting an order.

  1. PAYMENT

12.1 Payments are securely processed through PayFast or any future payment service provider approved by Nieu Sol Education.

12.2 Accepted payment methods shall be those offered by the payment gateway from time to time.

12.3 Nieu Sol Education does not collect or store customers’ banking details or credit card information.

12.4 Payment security is managed by the payment gateway in accordance with applicable payment security standards.

12.5 Where a payment fails or is reversed, access to Digital Products may be suspended until payment has been successfully received.

12.6 Customers are responsible for ensuring sufficient funds are available before initiating payment.

  1. DIGITAL DELIVERY

13.1 All products sold through the Website are supplied electronically unless otherwise stated.

13.2 Once payment has been successfully processed:

  • download links may become immediately available;
  • products may appear within the customer’s account;
  • an email containing access information may be sent.

13.3 Delivery times may vary depending on:

  • payment verification;
  • server availability;
  • internet connectivity;
  • email delivery delays.

13.4 Nieu Sol Education shall not be liable for delays caused by third-party service providers.

13.5 Customers are encouraged to save downloaded products securely after purchase.

14.2 Customers should download purchased products promptly.

  1. CUSTOMER RESPONSIBILITIES

  • launch specials;
  • school campaigns;
  • loyalty offers.

16.2 Promotions remain valid only during the published promotional period.

16.3 Promotions may not be:

  • exchanged for cash;
  • transferred;
  • combined unless expressly permitted.

16.4 Nieu Sol Education reserves the right to withdraw any promotion at any time.

16.5 Where a promotion ends, the normal selling price shall immediately apply.

  1. SCHOOL PURCHASES

17.1 Educational institutions wishing to purchase resources for multiple educators should obtain an appropriate School Licence.

17.2 Unless otherwise stated in writing, the purchase of a standard Digital Product grants a Single Teacher Licence only.

17.3 Schools wishing to extend access to multiple staff members should contact Nieu Sol Education to obtain an appropriate licensing arrangement.

17.4 Use of Single Teacher Licence resources across multiple classrooms without authorisation constitutes copyright infringement.

  1. PRODUCT UPDATES

18.1 Certain products may be updated periodically.

18.2 Updates may include:

  • curriculum amendments;
  • corrected worksheets;
  • revised lesson plans;
  • improved artwork;
  • formatting improvements;
  • additional activities.

18.3 Unless expressly advertised as including lifetime updates, Nieu Sol Education does not guarantee that future revisions will be supplied free of charge.

18.4 Customers remain entitled only to updates included within the product purchased.

  1. TECHNICAL SUPPORT

19.1 Nieu Sol Education endeavours to provide prompt customer support during normal business hours.

19.2 Technical support includes assistance relating to:

  • downloading products;
  • accessing customer accounts;
  • file corruption;
  • incorrect downloads;
  • payment verification.

19.3 Technical support does not include:

  • printer troubleshooting;
  • Microsoft Office training;
  • Adobe Reader support;
  • third-party software issues;
  • hardware failures.

19.5 Nieu Sol Education will endeavour to respond within a reasonable time.

  1. PRODUCT AVAILABILITY

20.1 While every effort is made to maintain product availability, Nieu Sol Education does not guarantee that every product will remain permanently available.

20.2 Products may be:

  • updated;
  • replaced;
  • withdrawn;
  • discontinued;
  • temporarily unavailable.

20.3 Nieu Sol Education shall not be liable for the withdrawal of products where legal, educational or commercial considerations require such withdrawal.

20.4 Where a purchased product becomes unavailable due to circumstances beyond our control, reasonable efforts will be made to provide an equivalent solution where appropriate.

  1. WEBSITE AVAILABILITY

21.1 Nieu Sol Education aims to maintain continuous Website availability.

21.2 However, interruptions may occur due to:

22.3 All Intellectual Property is protected by the Copyright Act 98 of 1978, common law, international copyright conventions and all other applicable legislation.

22.4 No ownership of any Intellectual Property is transferred through the purchase of a Digital Product.

22.5 Customers acquire only a limited licence to use the purchased product in accordance with these Terms.

  1. TRADEMARKS AND BRANDING

23.1 “Nieu Sol Education”, “Nieu Sol Development”, the Nieu Sol logo, branding, slogans and associated graphics are proprietary identifiers of Nieu Sol Education.

23.2 No person may use the Nieu Sol name, branding or logo in a manner that suggests affiliation, endorsement, partnership or representation without the prior written consent of Nieu Sol Education.

23.3 Customers, schools and educators may refer to Nieu Sol Education only for the legitimate purpose of identifying the source of purchased resources.

23.4 The following are strictly prohibited:

  • Creating social media pages using the Nieu Sol name.
  • Advertising products under the Nieu Sol brand without authority.
  • Selling copied Nieu Sol resources.
  • Removing branding from products.
  • Rebranding Nieu Sol products.
  • Using the Nieu Sol logo without permission.
  1. LICENCE GRANTED

24.1 Upon successful purchase, Nieu Sol Education grants the customer a limited, revocable, non-exclusive, non-transferable licence to use the purchased Digital Product.

24.2 This licence is subject to continued compliance with these Terms.

24.3 The licence does not constitute a transfer of ownership.

24.4 Ownership of all Digital Products remains vested in Nieu Sol Education.

24.5 Any breach of this licence automatically terminates the licence without notice.

  1. SINGLE TEACHER LICENCE

25.1 Unless expressly stated otherwise, every Digital Product sold by Nieu Sol Education is supplied under a Single Teacher Licence.

25.2 A Single Teacher Licence permits one educator to:

  • Download the resource.
  • Print the resource.
  • Photocopy the resource for learners within their own assigned class.
  • Display the resource in their classroom.
  • Adapt the resource to meet the educational needs of their own learners.

25.3 The licence is personal to the purchasing educator.

25.4 The licence may not be transferred to another educator.

25.5 A teacher changing schools may continue using purchased resources in their own classroom, provided the resources are not retained by the previous employer unless that school has obtained its own licence.

  1. SCHOOL LICENCES

26.1 Schools wishing to permit multiple educators to use Nieu Sol Education resources must obtain an appropriate School Licence.

26.2 School Licences may be issued on terms agreed in writing.

26.3 Unless expressly authorised, a Single Teacher Licence does not permit:

  • sharing resources with colleagues;
  • placing resources on a shared school drive;
  • uploading resources to Microsoft Teams, Google Classroom or similar platforms for staff access;
  • storing resources on shared servers;
  • circulating resources by email to other teachers.

26.4 Schools requiring broader usage rights are encouraged to contact Nieu Sol Education to obtain an appropriate licence.

  1. ACCEPTABLE USE

Customers may use purchased resources solely for legitimate educational purposes.

Permitted use includes:

  • classroom teaching;
  • learner support;
  • homework activities;
  • lesson preparation;
  • classroom assessment;
  • parent communication relating to the teacher’s own learners.

Customers may modify purchased resources only for use within their own classroom.

Such modifications do not transfer ownership.

  1. PROHIBITED USE

Without limiting any other rights, customers may not:

  • sell purchased resources;
  • resell printed copies;
  • distribute digital copies;
  • upload resources to Facebook;
  • upload resources to WhatsApp groups;
  • upload resources to Telegram groups;
  • upload resources to Google Drive for public access;
  • upload resources to Dropbox for sharing;
  • email purchased resources to other teachers;
  • post resources on websites;
  • upload resources to online marketplaces;
  • include resources within commercial products;
  • remove copyright notices;
  • remove branding;
  • alter logos;
  • claim authorship;
  • convert resources into another format for resale;
  • use artificial intelligence to recreate substantially similar resources for commercial purposes;
  • create derivative commercial works based on Nieu Sol Education resources;
  • sublicense products;
  • rent products;
  • lend products commercially.
  1. COPYRIGHT INFRINGEMENT

29.1 Nieu Sol Education actively protects its Intellectual Property.

29.2 Where copyright infringement is suspected, Nieu Sol Education reserves the right to:

  • investigate the matter;
  • monitor misuse;
  • issue cease and desist notices;
  • suspend customer accounts;
  • terminate licences;
  • recover damages;
  • institute civil proceedings;
  • institute criminal proceedings where appropriate;
  • seek legal costs;
  • seek interdicts;
  • report infringements to hosting providers, payment processors, social media platforms and search engines.

29.3 Customers agree to cooperate fully with any investigation relating to suspected misuse.

  1. REPORTING COPYRIGHT ABUSE

Customers, schools and members of the public are encouraged to report suspected copyright infringement.

Reports should include, where possible:

  • website links;
  • screenshots;
  • social media posts;
  • marketplace listings;
  • names of individuals involved;
  • any supporting information.

Nieu Sol Education will investigate reports confidentially where possible.

  1. USER-GENERATED CONTENT

Where the Website permits customers to submit:

the customer warrants that:

  • Loss of goodwill;
  • Loss of business opportunities;
  • Data loss;
  • Educational losses;
  • Business interruption losses.

45.2 Nieu Sol Education’s total liability arising from any claim shall not exceed the amount paid by the customer for the specific product giving rise to the claim.

45.3 This limitation applies regardless of the legal basis of the claim.

  1. INDEMNITY

46.1 Customers agree to indemnify and hold harmless Nieu Sol Education, its owner, contractors, curriculum specialists, agents and service providers against any claim arising from:

  • Breach of these Terms;
  • Unlawful use of products;
  • Copyright infringement by the customer;
  • Misuse of resources;
  • Unauthorised distribution;
  • Violation of third-party rights.

46.2 This indemnity survives termination of the customer relationship.

  1. FORCE MAJEURE

47.1 Nieu Sol Education shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control.

47.2 Such events include, but are not limited to:

  • Natural disasters
  • Floods
  • Fires
  • Epidemics or pandemics
  • Government restrictions
  • Civil unrest
  • Riots
  • Acts of terrorism
  • Labour disputes
  • Utility failures
  • Internet outages
  • Hosting failures
  • Cyber-attacks
  • Payment gateway failures
  • Power interruptions
  • Failure of third-party service providers

47.3 During any Force Majeure event, Nieu Sol Education shall use reasonable efforts to restore normal services as soon as practicable.

47.4 No customer shall be entitled to damages arising solely from a Force Majeure event.

  1. WEBSITE MAINTENANCE

48.1 Nieu Sol Education reserves the right to suspend access to the Website for maintenance, upgrades or security improvements.

48.2 Maintenance may occur without prior notice where immediate action is required to protect customers or the Website.

48.3 Scheduled maintenance will, where reasonably possible, be conducted outside normal business hours.

  1. ACCOUNT SUSPENSION

49.1 Nieu Sol Education may suspend or terminate any customer account where there is reasonable belief that the customer has:

  • breached these Terms;
  • infringed copyright;
  • distributed purchased resources unlawfully;
  • attempted fraudulent transactions;
  • abused customer support;
  • interfered with Website security;
  • impersonated another person;
  • acted unlawfully.

49.2 Suspension may occur immediately where necessary to protect the business or its Intellectual Property.

49.3 Suspension shall not relieve the customer of any legal obligations arising prior to suspension.

  1. TERMINATION OF LICENCE

50.1 The licence granted to a customer shall terminate automatically if the customer:

  • breaches these Terms;
  • infringes copyright;
  • redistributes products unlawfully;
  • attempts to commercialise Nieu Sol Education resources without written permission.

50.2 Upon termination, the customer must immediately:

  • cease using the resources;
  • destroy unauthorised copies;
  • remove shared copies from all storage locations;
  • discontinue further distribution.

50.3 Termination shall not affect any legal remedies available to Nieu Sol Education.

  1. BREACH OF THESE TERMS

51.1 Where a breach occurs, Nieu Sol Education may, without prejudice to any other rights:

  • issue a written warning;
  • suspend access;
  • terminate customer accounts;
  • revoke licences;
  • demand the removal of infringing material;
  • recover legal costs where permitted by law;
  • institute civil proceedings;
  • report criminal conduct to the relevant authorities.

51.2 The exercise of one remedy does not prevent Nieu Sol Education from exercising any other available remedy.

  1. DISPUTE RESOLUTION

52.1 Nieu Sol Education values positive relationships with its customers and encourages the amicable resolution of disputes.

52.2 Before commencing formal legal proceedings, either party agrees to attempt to resolve any dispute through good-faith discussions.

52.3 If the dispute cannot be resolved within thirty (30) calendar days, either party may pursue any legal remedy available under South African law.

52.4 Nothing in this clause prevents Nieu Sol Education from seeking urgent legal relief, including interdicts, where necessary to protect its Intellectual Property or business interests.

  1. COMPLIANCE WITH THE CONSUMER PROTECTION ACT

53.1 Nothing contained in these Terms is intended to limit or exclude any rights that consumers enjoy under the Consumer Protection Act 68 of 2008.

53.2 Where any provision of these Terms conflicts with mandatory provisions of the Consumer Protection Act, the relevant provisions of the Act shall prevail.

53.3 Customers retain all statutory rights afforded to them under applicable consumer protection legislation.

  1. ELECTRONIC COMMUNICATIONS

54.1 By using the Website, customers consent to receiving communications electronically.

54.2 Electronic communications include:

  • Emails
  • Download notifications
  • Invoices
  • Statements
  • Marketing communications (where consent has been provided)

  • Any applicable School Licence Agreement
